Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of the SeoTools website, platform, API and related services (the “Services”). By creating an account or using the Services you agree to these Terms. If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization.

2. Accounts and workspaces

• You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account.
• Workspace owners and admins control membership, roles and billing for their workspace.
• You must be at least 16 years old, or the age of majority where you live, to use the Services.

3. Plans, trials and billing

• Paid plans are billed in advance on a monthly or yearly basis. Prices are shown on our pricing page and may exclude applicable taxes.
• Free trials, where offered, convert to the Free plan or a paid plan as described at sign-up. We may limit trials to one per customer.
• Upgrades take effect immediately. Downgrades and cancellations take effect at the end of the current billing period; you keep access until then.
• AI credits are consumed as you use AI features. Included monthly credits do not roll over unless stated otherwise; purchased credit packs are non-refundable once used.
• Except where required by law, fees are non-refundable.

4. Acceptable use

You agree not to:

• crawl, audit or monitor websites you are not authorized to analyze in a way that breaches their terms or overloads their infrastructure;
• use the Services to send spam, unsolicited messages or content that is unlawful, deceptive or infringing;
• attempt to bypass usage limits, rate limits, security or access controls, or resell the Services without our permission;
• reverse engineer the Services except where permitted by law; or
• use AI features to generate content that violates applicable law or third-party rights.

5. Your content

You retain all rights to the content and data you submit (“Customer Content”). You grant us a limited license to host, process and display Customer Content solely to provide and improve the Services. You are responsible for having the rights needed to submit Customer Content and for reviewing AI-generated output before publishing it.

6. Third-party services and data

Some features rely on third-party providers (for example SEO data providers, AI providers, payment processors and publishing integrations such as WordPress). Their availability and accuracy are outside our control, and your use of them may be subject to their terms. Metrics sourced from third parties are provided “as is”.

7. Automation and approvals

Automation workflows run according to the configuration you choose. Actions that publish content or change external systems require explicit approval by an authorized workspace member. You are responsible for the workflows you create and the actions you approve.

8. Our intellectual property

The Services, including software, design and documentation, are owned by SeoTools and its licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

9. Availability and changes

We aim to keep the Services available and reliable but do not guarantee uninterrupted operation. We may modify or discontinue features, and will give reasonable notice of material changes that adversely affect paid plans.

10. Disclaimers

The Services are provided “as is” and “as available”. Search engine rankings depend on many factors outside our control, and we do not guarantee any particular ranking, traffic or business result. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, SeoTools will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Services is limited to the amount you paid us in the twelve months before the event giving rise to the claim.

12. Suspension and termination

You may stop using the Services and delete your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or if required by law. On termination, your right to use the Services ends and we may delete Customer Content after a reasonable period.

13. Changes to these terms

We may update these Terms from time to time. We will post the updated version here with a new “last updated” date and notify account owners of material changes. Continued use after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which SeoTools is established, without regard to conflict-of-law rules, unless mandatory consumer protection law where you live provides otherwise.
